VRLY Ventures LLC, doing business as EZBilling ("Company," "we," "us," or "our") respects your privacy and is committed to protecting your personal information. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use our EZBilling platform ("Service").

By using the Service, you consent to the practices described in this Privacy Policy. If you do not agree, please do not use the Service.

2. Information We Collect

2.1 Information You Provide

• Account Information: Name, email address, password, phone number, job title
• Company Information: Company name, address, phone, tax identification numbers
• Financial Data: Project details, contracts, invoices, billing information, pay applications, job cost data
• Payment Information: Credit card details, billing address (processed by our payment processor)
• Communications: Messages you send us, support requests, feedback

2.2 Information Collected Automatically

• Usage Data: Pages visited, features used, time spent, click patterns
• Device Information: IP address, browser type, operating system, device identifiers
• Log Data: Access times, error logs, referring URLs

2.3 Information from Third Parties

• Social Login Providers: If you sign in using Google or LinkedIn, we receive your name, email, and profile picture from these services (see Section 6)

4. AI-Powered Features

4.1 AI Assistant. Certain subscription plans include an AI-powered assistant that can answer questions about your data, provide insights, and help with various tasks. This feature is powered by OpenAI's API.

4.2 Data Shared with OpenAI. When you use AI features, relevant context from your account (such as project names, financial summaries, or questions you ask) may be sent to OpenAI's servers for processing. This data is:

• Transmitted securely via encrypted connections
• Used solely to generate responses to your queries
• Subject to OpenAI's data usage policies and terms of service

4.3 Opting Out. AI features are optional. Company owners and administrators can disable AI functionality for their entire organization in the AI Settings page (Settings > AI Settings). When AI is disabled, no data will be sent to AI services, and AI-powered features will be unavailable to all users in that organization.

4.4 Bring Your Own Key (BYOK). You may choose to use your own OpenAI API key, in which case data is sent directly to OpenAI under your own agreement with them, and EZBilling acts solely as a conduit for such communications. We encourage users who have specific data handling requirements to use their own API keys.

4.5 Your Responsibility. You are solely responsible for determining whether the use of AI features is appropriate for your business and complies with any confidentiality obligations you may have to third parties.

5. How We Share Your Information

We do not sell your personal information. We may share information in the following circumstances:

5.1 Service Providers

We share information with third-party vendors who assist in operating the Service:

• Cloud Hosting: For data storage and processing
• Payment Processing: Stripe processes payments on our behalf
• AI Services: OpenAI for AI-powered features (if included in your plan)
• Email Services: For transactional and notification emails
• Analytics: To understand usage patterns

5.2 Legal Requirements

We may disclose information if required by law, court order, or government request, or to protect the rights, property, or safety of EZBilling, our users, or others.

5.3 Business Transfers

In the event of a merger, acquisition, or sale of assets, your information may be transferred as part of the transaction.

5.4 With Your Consent

We may share information with your explicit consent.

6. Social Login and Third-Party Authentication

You may choose to register or log in using third-party authentication services:

6.1 Google OAuth

If you sign in with Google, we receive:

• Your name and email address
• Your profile picture (optional)
• A unique identifier from Google

We do not receive your Google password. Google's use of your data is governed by Google's Privacy Policy.

6.2 LinkedIn OAuth

If you sign in with LinkedIn, we receive:

• Your name and email address
• Your profile picture (optional)
• A unique identifier from LinkedIn

We do not receive your LinkedIn password. LinkedIn's use of your data is governed by LinkedIn's Privacy Policy.

6.3 Disconnecting Social Accounts

You can disconnect social login providers from your account settings at any time. You will need to set a password to continue accessing your account.

We use cookies and similar technologies to:

• You have 30 days to export your data
• Account data is deleted within 90 days
• Backups are purged within 180 days
• We may retain anonymized, aggregated data for analytics

This Privacy Policy shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under this Privacy Policy shall be subject to the exclusive jurisdiction of the state and federal courts located in Middlesex County, New Jersey.
