AI Disclosure

1. Purpose of This Disclosure

This AI Disclosure explains how EZBilling, operated by VRLY Ventures LLC ("Company," "we," "us"), uses artificial intelligence ("AI") features in the EZBilling platform ("Service"), the limitations of those features, and your responsibilities when using them. This Disclosure supplements, and is incorporated by reference into, our Terms of Service and Privacy Policy.

2. AI Features in EZBilling

EZBilling includes optional AI features that may, depending on your subscription plan and your organization's settings, include:

• An AI assistant that answers questions about your company's data (projects, pay applications, invoices, bills, aging, compliance documents, and related records).
• AI-powered document extraction that reads uploaded PDFs or images and pre-fills form fields for bills, insurance certificates, lien waivers, purchase orders, subcontracts, and change orders.
• Contextual AI prompts on selected screens.

3. Third-Party AI Provider

AI features are powered by Anthropic's Claude API. When you use an AI feature, the text of your question, relevant context from your account (such as project summaries, vendor lists, cost codes, line items, and other records we determine to be relevant), and, in the case of document extraction, the contents of documents you upload, are transmitted to Anthropic for processing. Anthropic's handling of this data is governed by Anthropic's terms of service and privacy policy. We do not control Anthropic's practices.

You may optionally use your own Anthropic API key ("BYOK – Bring Your Own Key"). When BYOK is configured, AI requests are billed directly to your Anthropic account and are subject to whatever terms, data-retention rules, and enterprise controls you have negotiated directly with Anthropic.

4. AI Output Is Not Advice

AI output provided through the Service is informational only. It is not:

• Accounting, audit, bookkeeping, or financial advice;
• Legal, contractual, or regulatory advice;
• Tax advice;
• Insurance coverage advice or a determination of coverage adequacy;
• Bonding, surety, or lien-law advice;
• A substitute for a licensed Certified Public Accountant, attorney, insurance broker, or other qualified professional.

You should consult appropriate licensed professionals before making business, legal, or financial decisions.

5. AI Output May Be Wrong ("Hallucinations")

Large language models can produce output that is plausible-sounding but incorrect, incomplete, outdated, or entirely fabricated. This includes, without limitation, wrong dollar amounts, wrong dates, wrong names, wrong cost codes, wrong coverage limits, wrong percentages, misread document fields, and invented facts, clauses, or references. You must not rely on AI output without independently verifying it against original source documents and authoritative records.

6. Your Responsibility to Verify

You are solely responsible for:

1. Reviewing every AI-generated response and every AI-extracted field before relying on, saving, or sharing it.
2. Correcting any errors before saving a record, posting a journal entry, transmitting a pay application, submitting a certified payroll report, issuing a lien waiver, or taking any other action based on AI output.
3. Ensuring that all data you post to your general ledger, submit to third parties (owners, architects, subcontractors, bonding companies, insurers, taxing authorities, lenders, or others), or rely on for compliance is accurate and complete.
4. Maintaining your own records and backups.

By saving any record that was pre-filled or modified by an AI feature, you attest that you have reviewed the record and confirmed its accuracy. EZBilling logs this attestation together with your user ID and timestamp.

7. Specific High-Risk Use Cases

The following uses of AI output carry elevated risk. You assume full responsibility for verification in each case:

• AIA G702/G703 Pay Applications submitted to owners, architects, and bonding companies.
• Certified Payroll (WH-347) submissions, which are sworn federal filings subject to penalty of perjury.
• Lien waivers and lien-release affidavits (G706A), which affect statutory lien rights.
• Surety consents (G707, G707A) and substantial completion certificates (G704).
• Insurance certificate coverage determinations.
• 1099 and other tax filings.
• Journal entries and fiscal period closings that affect financial statements.
• Any contractual commitments, including change orders, subcontracts, and purchase orders.

8. No Warranty

AI features are provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind, whether express, implied, statutory, or otherwise. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title, and non-infringement with respect to AI features and AI output. We do not warrant that AI features will be uninterrupted, error-free, secure, or that AI output will be accurate, reliable, complete, current, or suitable for any purpose.

9. Limitation of Liability

Your use of AI features is at your sole risk. To the maximum extent permitted by applicable law, VRLY Ventures LLC, its officers, directors, employees, agents, affiliates, and licensors (including Anthropic) shall not be liable for any loss or damage arising from or related to AI features or AI output, including without limitation: misposted entries, incorrect filings, rejected pay applications, rejected lien waivers, invalid certifications, incorrect insurance determinations, tax penalties, audit findings, lost profits, lost revenue, lost data, business interruption, or any indirect, incidental, special, consequential, exemplary, or punitive damages, even if advised of the possibility. The overall cap on liability set forth in our Terms of Service §9.2 applies to all claims relating to AI features and AI output.

10. Indemnification

You agree to indemnify, defend, and hold harmless VRLY Ventures LLC and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your reliance on AI output without verification; (b) your use of AI output in any filing, submission, or communication to a third party; (c) any claim by a third party (including owners, architects, subcontractors, suppliers, bonding companies, insurers, lenders, or taxing authorities) that AI-generated or AI-extracted data you relied upon was inaccurate.

11. Organization-Level Opt-Out

Company owners and administrators can disable AI features for the entire organization at any time in Settings → AI Settings. When AI is disabled, no data is transmitted to Anthropic and AI features are unavailable to all users in that organization.

12. Acknowledgment

Before you first use any AI feature, you must acknowledge that you have read and understood this AI Disclosure. Your acknowledgment is recorded with your user ID, a timestamp, and the version of this Disclosure in effect. We may require re-acknowledgment when we materially update this Disclosure.

13. Changes to This Disclosure

We may update this AI Disclosure from time to time. The "Last updated" date above reflects the current version. Material changes will trigger a new acknowledgment request on your next AI feature use.

14. Governing Law

This AI Disclosure is governed by the laws of the State of New Jersey, without regard to conflicts-of-law principles. Any dispute arising out of or relating to this Disclosure shall be brought exclusively in the state or federal courts located in Middlesex County, New Jersey.
